Terms of Service

These Terms of Service govern your use of Esuift Solutions' website, services, and technology solutions. By engaging our services, you agree to these terms.
1. Services
Esuift Solutions provides full-stack technology services including:
- Website design and development
- Mobile app development (iOS, Android, cross-platform)
- Custom systems and business software development
- Business process automation
- Cloud infrastructure and DevOps
- Data analytics and reporting solutions
- Ongoing support and maintenance
The specific scope, deliverables, and timeline for each project will be agreed upon in writing before work begins. Any additional services requested beyond the agreed scope may require a separate agreement or adjusted pricing.
2. Support & Maintenance
We provide ongoing support, security updates, and maintenance for solutions we build. Support is provided on a monthly basis as part of our ongoing partnership model. Support plans are billed monthly and automatically renew unless cancelled with 30 days written notice.
You may upgrade, downgrade, or cancel your support plan at any time. Changes take effect at the start of the next billing cycle. Cancelled plans retain access to services until the end of the current billing period. No refunds are provided for partial months.
3. Payments & Pricing
For one-time projects, a deposit may be required before work begins, with the balance due upon completion. For ongoing support plans, payment is due at the start of each billing cycle. All prices are quoted in Kenyan Shillings (KES) or US Dollars (USD) as agreed.
Late payments may result in suspension of services. Esuift Solutions reserves the right to adjust pricing with 30 days notice for ongoing support subscribers. All fees are non-refundable unless otherwise stated in writing.
4. Client Responsibilities
Clients agree to provide timely access to necessary materials, content, login credentials, and feedback required for project completion. Delays caused by the client may extend project timelines.
Clients are responsible for the accuracy of content provided. Esuift Solutions is not liable for errors in client-supplied materials or data.
5. Intellectual Property
Upon full payment, clients own the final deliverables created specifically for their project — including websites, mobile apps, custom systems, and associated source code. Esuift Solutions retains ownership of any proprietary code, tools, frameworks, libraries, or methodologies used in the development process.
We reserve the right to display completed work in our portfolio, case studies, and marketing materials unless a non-disclosure agreement specifically prohibits this. Third-party assets (stock images, fonts, plugins) are subject to their respective licenses.
6. Hosting & Cloud Infrastructure
Domain names registered on your behalf remain your property. Hosting and cloud infrastructure may be provided directly by Esuift Solutions or through third-party providers such as AWS, Azure, Google Cloud, or Novahost. We are not liable for downtime or issues caused by third-party providers.
If you choose to transfer hosting, cloud services, or domain management away from Esuift Solutions, we will assist with the transition. Any outstanding fees must be settled before transfer.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, customer data, login credentials, source code, and financial information.
8. Limitation of Liability
Esuift Solutions is not liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our Services. Our total liability for any claim is limited to the amount paid for the specific service giving rise to the claim.
While we implement security best practices, no system is 100% immune to security threats. We are not liable for damages resulting from cyber attacks, data breaches, or third-party actions beyond our reasonable control.
9. Termination
Either party may terminate services with 30 days written notice. Upon termination, clients receive all project files, source code, content, and data associated with their project. Esuift Solutions will cooperate with any transition to a new provider.
We reserve the right to terminate services immediately in cases of non-payment, violation of these terms, or abusive behavior toward our team.
10. Third-Party Services
Our Services may integrate with third-party platforms including Google, WhatsApp, email providers, payment processors, cloud providers, and social media platforms. We are not responsible for changes, outages, or policy updates from these third-party services.
11. Governing Law
These terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved in Kenyan courts.
12. Changes to These Terms
We may update these terms from time to time. Clients will be notified of material changes via email. Continued use of our Services after changes take effect constitutes acceptance of the updated terms.
